1. ACCEPTANCE OF TERMS
1.1 Welcome to The Synergy Project, a virtual networking hub facilitated by The Best You Inc. (“Company,” “we,” “us,” or “our”), aimed at connecting business professionals, enabling the exchange of business contacts, and fostering the sharing of business insights through the Mighty Networks social platform.
1.2 By registering for, accessing, browsing, or using The Synergy Project, you, the user (“User,” “you,” or “your”), acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”). If you are accessing these services on behalf of a business or another legal entity, you represent that you have the authority to bind such an entity to these Terms, and in that case, “User,” “you,” and “your” will refer to that entity
2. SERVICES AND USER OBLIGATIONS
2.1 The Synergy Project provides a platform for business professionals from various fields to connect, exchange contact information, and share business insights, all facilitated via the Mighty Networks platform.
2.2 You commit to providing accurate, current, and complete information during the registration process and agree to update such information to keep it accurate, current, and complete.
3. SUBSCRIPTION AND PAYMENT
3.1 Deposit and Withdrawal Period: The Synergy Project requires a six-month subscription commitment upon registration. A $100 deposit is required at the time of registration, which secures your place within the project. This deposit is refundable within 30 days of payment. If you choose to cancel your participation within this period, your deposit will be fully refunded. After the 30-day window, the deposit becomes non-refundable, committing you to the full term of the subscription.
3.2 Upon engaging with The Synergy Project, you have the flexibility to opt for (i) a monthly payment structure at $397 or (ii) a single upfront payment of $1990 for the entire six-month membership term. Notwithstanding your chosen payment method, please be advised that the subscription fee is non-refundable after the conclusion of the 30-day Withdrawal Period, which begins on the initial payment date. During this period, you retain the right to cancel your subscription and receive a full refund of any fees paid. Following this 30-day interval, the total subscription fee for the complete six-month term remains due and is non-recoverable, irrespective of service usage or membership cancellation.
3.3 You agree to fulfil your payment obligations promptly, and you acknowledge that failure to complete payments for the full six-month period may result in legal action to recover any outstanding amounts.
4. INTEREST ON OVERDUE PAYMENTS
4.1 Grace Period: Members shall be afforded a grace period of fifteen (15) calendar days from the payment due date, during which no interest will be assessed on the overdue amount.
4.2 Accrual of Interest: Should the payment remain outstanding beyond the grace period, interest will begin to accrue on the unpaid balance. The interest rate applied will be at the maximum permissible annual rate of 10% for consumer loans, or at the current rate enforceable under California state law for the applicable loan category, which is compounded annually and assessed on a pro-rata daily basis from the payment due date until the date of actual payment.
4.3 Obligation to Pay Interest: All accrued interest is payable in full and is considered additional to the overdue balance. Members are required to settle all accrued interest charges concurrently with the overdue balance to restore their account to good standing.
5. CONTRACT AND PARTIES
5.1 The Service is provided under a contractual agreement between you and The Best You Inc., with Bernardo Moya acting as the representative for The Best You Inc. By utilising the Service, you enter into a binding contract, agreeing to comply with these Terms and fulfil your payment obligations.
6. SUBSCRIPTION COMMITMENT AND REFUND POLICY
6.1 While we strive to provide the utmost value to all our members, please note that once a subscription begins, all subscription fees become non-refundable due to the nature of our resources and the commitment involved in the provisioning of our services. However, we maintain a flexible approach regarding the initial deposit. The $100 deposit made at the onset of your subscription is fully refundable, ensuring your peace of mind.
*This refund policy reflects our confidence in The Synergy Project and our dedication to your satisfaction with the community’s offerings. Your agreement to subscribe is a commitment to the full six-month journey with us, and as such, the total subscription amount is due for the entire period, notwithstanding any cancellation or non-utilization of the services provided.
7. PRIVACY POLICY
7.1 Your privacy is important to us. Our Privacy Policy, incorporated into these Terms by reference, describes the collection, use, and disclosure of your personal information when you use The Synergy Project. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.
7.2 We take reasonable measures to protect the confidentiality and security of your personal information. However, we cannot guarantee the security of your information transmitted through the Service.
8. USER CONDUCT AND RESTRICTIONS
8.1 You agree to use The Synergy Project responsibly and ethically. You shall not post, upload, or distribute any content that is unlawful, defamatory, harassing, invasive of another’s privacy, abusive, fraudulent, obscene, or otherwise objectionable.
8.2 You are prohibited from using the Service to advertise or perform any commercial solicitation, including, but not limited to, the solicitation of users to become subscribers of other online information services.
8.3 Any unauthorised use of The Synergy Project, including but not limited to unauthorised entry into our systems, misuse of passwords, or misuse of any information posted to The Synergy Project, is strictly prohibited.
9. INTELLECTUAL PROPERTY
9.1 The content on The Synergy Project, including but not limited to text, graphics, images, photographs, and software, is the property of The Best You Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.
9.2 You are granted a limited, revocable, and non-exclusive right to access and use The Synergy Project solely for your own personal or internal business purposes. This right does not include any resale or commercial use of The Synergy Project or its contents; any derivative use of The Synergy Project or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.
10. DISCLAIMER OF WARRANTIES
10.1 The Synergy Project is provided “as is,” without warranty of any kind, either express or implied. Without limiting the foregoing, we explicitly disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.2 We make no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
11. LIMITATION OF LIABILITY
11.1 To the maximum extent permitted by applicable law, The Best You Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
11.2 Our total liability arising out of or in connection with these Terms or from the use of or inability to use The Synergy Project will not exceed the amount you have paid to The Best You Inc. for use of The Synergy Project or one hundred dollars ($100), if you have not had any payment obligations to The Best You Inc., as applicable.
12. INDEMNIFICATION
12.1 You agree to defend, indemnify, and hold harmless The Best You Inc., its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of The Synergy Project, or your violation of these Terms.
13. TERMINATION
13.1 We may terminate your access to and use of The Synergy Project, at our sole discretion, at any time, and without notice to you.
13.2 Upon termination, your right to use The Synergy Project will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, and indemnification provisions.
14. CHANGES TO TERMS AND CONDITIONS
14.1 We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them.
14.2 Your continued use of The Synergy Project following the posting of revised Terms means that you accept and agree to the changes.

16. SEVERABILITY

17. GOVERNING LAW AND JURISDICTION
17.1 These Terms and your use of The Synergy Project shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or related to these Terms or the services provided shall be brought exclusively in the state or federal courts located in California, and you consent to the jurisdiction and venue of such courts.
18. MISCELLANEOUS
18.1 These Terms constitute the entire agreement between you and The Best You Inc. concerning The Synergy Project and supersede any prior agreements or communications.
18.2 The failure of The Best You Inc. to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
18.3 If any provision of these Terms is deemed invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
19. ENTIRE AGREEMENT
19.1 These Terms and our Privacy Policy constitute the sole and entire agreement between you and The Best You Inc. regarding The Synergy Project and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding The Synergy Project.
